1. Acceptance of Terms
By accessing or using Toffy ("we," "our," or "us") at www.toffy.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our platform. These Terms apply to all users of Toffy, including creators on the waitlist and active account holders.
2. What Toffy Does
Toffy is an all-in-one platform designed to help content creators discover, manage, and close paid brand deals and UGC (user-generated content) contracts. We provide tools for deal tracking, outreach management, contract handling, and creator profile presentation. Toffy acts as a platform and does not itself employ creators, represent brands, or guarantee any specific deal outcomes.
3. Eligibility
To use Toffy, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding agreements
Not be prohibited from using the platform under applicable laws in your jurisdiction
By creating an account, you confirm that you meet these requirements.
4. Account Registration and Responsibilities
When you create an account on Toffy, you agree to:
Provide accurate, current, and complete information
Keep your login credentials confidential and not share them with anyone
Notify us immediately at [your support email] if you suspect unauthorized access to your account
Take full responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false or misleading information.
5. Creator Obligations
As a creator using Toffy, you agree to:
Only represent yourself and your own content channels and social profiles
Provide accurate and verifiable data about your audience size, engagement, and platform statistics
Not misrepresent your follower counts, demographics, or performance metrics to brands or any other party
Conduct yourself professionally in all brand communications facilitated through or in connection with Toffy
Honor any deal terms, contracts, or agreements you enter into with brands via or outside of the platform
Comply with all applicable advertising disclosure laws and platform-specific guidelines (including FTC guidelines, ASA standards, or equivalent in your jurisdiction) when publishing sponsored content
Toffy is not a party to any agreement between you and a brand. Any disputes arising from such agreements are solely between you and the relevant brand.
6. Acceptable Use
You agree not to use Toffy to:
Violate any applicable law or regulation
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Upload, transmit, or share content that is unlawful, defamatory, obscene, or infringing on any third party's intellectual property rights
Engage in any activity that could harm, disable, or impair the platform or its infrastructure
Scrape, crawl, or extract data from Toffy without our prior written consent
Use automated tools, bots, or scripts to interact with the platform
Attempt to gain unauthorized access to any part of the platform or its related systems
Use the platform for any purpose other than its intended use as a creator brand deal management tool
We reserve the right to investigate and take appropriate action, including suspension or termination of access, against anyone who violates these terms.
7. Payments and Fees
Toffy may charge subscription fees or transaction-based fees for access to certain features. Where applicable:
All fees are displayed clearly before you are charged
Payments are processed securely through Stripe
Fees are non-refundable unless explicitly stated otherwise or required by applicable law
You authorize us to charge your chosen payment method for any fees you incur
In the event of a failed payment, we reserve the right to suspend your access until the outstanding amount is resolved
We reserve the right to modify our pricing at any time. We will provide reasonable advance notice of any fee changes.
8. Intellectual Property
a) Toffy's IP All content, features, branding, code, and materials on the Toffy platform -- including but not limited to the name, logo, design, and software -- are the exclusive property of Toffy and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the platform without our prior written permission.
b) Your Content You retain ownership of any content you upload or submit to Toffy, including your profile information, social media data, and deal-related materials. By submitting content to Toffy, you grant us a limited, non-exclusive, royalty-free license to use, display, and process that content solely for the purpose of operating and improving the platform.
c) Feedback If you provide us with feedback, suggestions, or ideas about the platform, you grant us the right to use that feedback without any obligation to compensate you.
9. Third-Party Integrations
Toffy integrates with third-party services including Stripe (payments), Google (sign-in), analytics providers, and email marketing tools. Your use of these integrations is also subject to those third parties' respective terms and privacy policies. We are not responsible for the practices, content, or availability of any third-party service.
10. Disclaimers
Toffy is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
We make no warranties, express or implied, regarding the platform's reliability, accuracy, or fitness for a particular purpose
We do not guarantee that you will secure any brand deals, earn any specific income, or achieve any particular outcome through your use of the platform
We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components
11. Limitation of Liability
To the maximum extent permitted by applicable law, Toffy and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the platform, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the total amount you have paid to Toffy in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Toffy and its founders, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to or through the platform.
13. Termination
We reserve the right to suspend or permanently terminate your access to Toffy at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued access poses a risk to the platform or other users.
You may delete your account at any time by contacting us at [your support email]. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination -- including intellectual property rights, disclaimers, limitation of liability, and indemnification -- shall continue to apply.
14. Modifications to the Platform and Terms
We reserve the right to modify, suspend, or discontinue any part of the platform at any time without prior notice. We may also update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Continued use of the platform after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the platform.
15. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or your use of Toffy shall be subject to the exclusive jurisdiction of the courts located in [your city], India.
